VERSAMED® INTERNACIONAL, S.R.L, a commercial company organized under the
laws of the Dominican Republic, holder of the National Taxpayer Registry
(RNC) No. 1-30-36196-7, with its registered office and main offices located
at Avenida Juan Pablo Duarte, Plaza Las Ramblas, Module No. 315, in the city
of Santiago, Dominican Republic (hereinafter "VERSAMED"), is the owner of
www.doctorpad.com (hereinafter "The Website"), dedicated to
offering the use of a web application for doctors or healthcare
professionals called DoctorPad®, intended for the management and control of
medical consultations, appointments, patient medical history, prescriptions,etc.
VERSAMED® provides the email address
soporte@doctorpad.com as the main
means of contact.
Acceptance of the Terms of Use
These terms of use are entered into, on one hand, by VERSAMED®, which makes
the Website available to any doctor/internet user and, on the other, by the
user, understood as any user or doctor or natural or legal person in the
healthcare sector who accesses the Website freely and voluntarily,
regardless of whether they use the services offered through it or not.
By merely visiting, browsing, or using the Website in any way, the user
agrees to these terms of use.
By simply accessing the Website, the user can learn about the services
offered and has access to various means of contacting VERSAMED®. Access to
the Website is free of charge.
However, the primary purpose of the Website is to subscribe to the web
application DoctorPad®, primarily aimed at managing and controlling medical
consultations, appointments, patient clinical history, prescriptions.
This service entails a cost and requires acceptance of the terms of use.
Before subscribing to the DoctorPad® service via the Website, registration
is required, which involves accepting these terms of use.
The functionalities included in the user's subscription will depend on the
plan selected during registration on the Website. The DoctorPad®
subscription service includes only and exclusively the functionalities
listed on the Website, as detailed below:

- Images/Photos/PDFs in consultations/records
- Multi-Clinic support
- Custom fields by specialty
- Billing and Accounts Receivable (in your local currency)
- User assistance and support
Advanced Plan:
- Unlimited consultations/records
- Unlimited patient clinical history
- Images/Photos/PDFs in consultations/records
- Unlimited appointment scheduling
- Patients can schedule appointments via the web
- Integrated video consultation (Telemedicine)
- International Disease Classification, ICD-11
- Multi-Clinic support
- Custom fields by specialty
- Billing and Accounts Receivable (in your local currency)
- Medication suggestions
- User assistance and support
- Prescription delivery via email
Any other functionality not listed above is not included in the subscription
and is beyond the scope of these terms of use.
VERSAMED® strives to ensure that the information displayed on the Website
and in DoctorPad® is accurate, adequate, and up to date. However,
circumstances beyond its control may occur, and VERSAMED® assumes no
liability in such cases.
By simply accessing the Website and DoctorPad®, the user agrees to:

Use the Website, DoctorPad®, and any services or features offered in
compliance with applicable laws (especially regarding intellectual and
industrial property and data protection), as well as accepted moral
standards, public order, these terms of use, and any others that may
apply.
- Use the Website and DoctorPad® diligently, properly, and lawfully.

Review any changes to these terms of use or the Privacy Policy, or any
other conditions previously accepted.

Review notifications sent by VERSAMED®, as they may contain important
information.
- Not breach these terms of use or any related obligations.

Respect VERSAMED®, the Website, and DoctorPad®; not infringe any rights or
interests of VERSAMED® or third parties, including intellectual or
industrial property rights (patents, trademarks, trade secrets,
copyrights, etc.).

Not use the Website or DoctorPad® for commercial purposes, such as
collecting content to offer competing services.

Not introduce malware, viruses, trojans, or any other code intended to
interrupt or damage the Website.

Not use reverse engineering, decompile, or decipher the source code of the
Website or any element subject to intellectual property.
- Not modify the Website or DoctorPad® in any way.

Not overload or damage the service or networks, or interfere with other
users’ use of the service.

Not simulate the appearance or functions of the Website, DoctorPad®, or
VERSAMED®.
Particular Terms of Registration on the Website
These particular terms of registration on the Website are entered into by
VERSAMED® and, on the other hand, by the user or doctor or health
professional or legal entity in the healthcare sector who has completed all
the steps of the registration process, including acceptance of these
Particular Terms of Registration (hereinafter, 'Registered User').
Services and Registration
The main purpose of registering on the Website is to subscribe to the
DoctorPad® web application, primarily focused on managing and controlling
medical consultations, appointments, patient clinical histories, and
prescriptions.
Registration is free, but subscribing to the DoctorPad® service involves
costs and acceptance of the terms of use.
The Registered User may, at any time, access the configuration area to
modify their preferences, including canceling the subscription, changing the
subscribed plan, and editing data such as account information, profile
picture, consulting rooms, specialties, and all other administrative options
made available by VERSAMED® in DoctorPad®.
DoctorPad® Trial Period
VERSAMED® may offer the possibility to use DoctorPad® during a trial period,
the duration of which will be detailed on the Website and subject to the
same terms as outlined in these terms of use.
VERSAMED® reserves the right to limit the use of DoctorPad® during the trial
period. Anyone subscribing to the trial will be considered a “Provisional
User” and will be subject to these terms of use as applicable, excluding
financial obligations.
If a user subscribes during the trial period, charges will only apply once
the trial ends.
Once the trial ends, if the Provisional User does not subscribe, access to
DoctorPad® will be revoked.
Registration Requirements and Process
The individual registering will be required to choose a username and
password. If lost or suspected unauthorized access occurs, the user must
immediately notify via email (soporte@doctorpad.com) so that appropriate technical measures can be taken.
To register, it is sufficient to complete the registration form, submit it,
and follow the steps shown on-screen, including acceptance of these terms.
Once completed, the user becomes a Registered User for the purposes of these
Particular Terms of Registration.
Obligations of the Registered User

Do not register multiple accounts or use false or inaccurate data or
impersonate others. Especially, do not create multiple accounts to exploit
promotions or discounts for new users.
- Do not use or attempt to use other users' accounts.

Be solely responsible for all activities performed through your account.

Keep access credentials strictly confidential. The user assumes
responsibility for any breaches of confidentiality.

Be responsible for any harm caused to themselves or third parties due to
violations of these or any applicable terms, including:
- Keeping account information updated.
- Being the sole user of the account.
- Not selling, transferring, or sharing the account.
- Not using other accounts without express consent.
- Comply with any additional applicable conditions.
Customer Support and Technical Assistance Response Times

Customer service will respond to inquiries within an estimated 1 to 5
business days, which may be extended under certain circumstances.

Technical support and software engineering teams aim to diagnose and fix
bugs within 7 to 30 business days, depending on the case.
Availability of the Website and DoctorPad® Application

VERSAMED® has no obligations beyond those stated in these terms of use.

VERSAMED® strives to improve the Website. However, it is presented "as is"
and may be subject to availability limitations. Access may be restricted
at times.

VERSAMED® reserves the right to modify, remove, or alter the Website,
DoctorPad®, or their contents, including these terms, at any time.
Account Modification and Cancellation

Account data can be modified or deleted via the “Account” section within
the DoctorPad® application.

Stored data from a subscription remains in read-only mode after
cancellation. No new consultations, appointments, or edits are allowed.
Full deletion may occur if the account is cancelled.
Third-Party Websites

The Website may include links to third-party sites. VERSAMED® assumes no
responsibility for them or their content.

Users acknowledge these are external sites, potentially containing
malware, illegal content, or inappropriate materials.

VERSAMED® neither endorses nor reviews these external sites, even when
linked from the Website.
Intellectual and Industrial Property

All intellectual property rights over Website content, including design,
graphics, and code, belong exclusively to VERSAMED®. Reproduction,
distribution, or any exploitation is prohibited without prior written
consent.

Trademarks and other distinctive signs on the Website are the exclusive
property of VERSAMED®. Their use is prohibited without proper licensing.

Exclusion of liability
- VERSAMED® does not offer guarantees in relation to the free services offered on the Website. The Website is made available to users for their consultation, use and enjoyment.
- All functionalities are provided “as is” and “subject to availability” at any given time.
- VERSAMED® does not offer any guarantees regarding response times from the customer support team for user requests or inquiries, nor for the review and resolution of bugs by the technology staff or software engineers.
- All the functionalities are shown "as is" and "according to availability" at all times.
- Notwithstanding the foregoing, VERSAMED® works to protect the systems and contents included in the Website from intrusions or loss of information, using the usual security standards on the Internet. This does not imply that it controls or can guarantee the absence of viruses or other harmful elements on the Website or on third-party websites, which may cause alterations in the user's computer system, both software and hardware. The user understands and accepts that situations may arise that are beyond the control of VERSAMED®.
- VERSAMED® declines all responsibility for the misuse that the user gives to the Website, as well as for the breach of the obligations or commitments assumed in these terms of use or in any other that may be applicable.
- In general, neither VERSAMED® nor its collaborators will be liable in the event of loss of profit or consequential damage for any matter or for profits not obtained by the User and / or third parties.
- The person responsible for the data and its treatment is the User, as responsible for the data file.
- The User is responsible as the owner of the data contained in the database, of his patients and of safeguarding the data.
- The User is responsible for verifying by himself and ensuring that the Website and the data storage conditions comply with the legislation of his country.
- VERSAMED® only provides the support, that is, the software through the web, so that the User can manage their corresponding tasks.
VERSAMED® will not be responsible for any damage and / or loss:

When the User or the people for whom he must answer are guilty of such
damages.
- Caused to third parties.

Due to loss of data, since it simply provides the Website through the
Internet by means of access codes.

For any circumstance of force majeure, fortuitous event, failure or
error of the communication lines, or failure of the Internet network.

For the loss, alteration and / or damage, total and / or partial, on
information contained in magnetic media, disks, tapes, floppy disks and
others, as well as for the introduction of computer viruses or unwanted
variations or alterations on all information, documents, files,
databases, hardware and / or software, when they are in possession and /
or in the location where the User is.

VERSAMED® cannot guarantee that the Website will function constantly,
reliably and permanently, without delays or interruptions, for which
VERSAMED® is not responsible for any damage and / or loss and / or
benefits not obtained by the User / Users and / or any other third party
that is harmed as a result of such circumstances.

VERSAMED®, will not be responsible in the case of migrating data from
the User's current system to the new one obtained, nor for the loss of
any data that has not been entered in the data fields managed by the
Website.
Indemnification

If, as a consequence of breaches of the user, VERSAMED® suffers any type
of damage, loss, loss or cost (including attorney and solicitor fees),
the user will be obliged to compensate the user.

The same with respect to claims or procedures initiated by third parties
against VERSAMED® as a result of user breaches.
Safeguarding and interpretation
These terms of use constitute a unique agreement between the user and
VERSAMED®.
The declaration of any provision as illegal, invalid or unenforceable by
the competent authority, will mean that it should be interpreted in the
manner closest to the original intention of such provision. Such
declaration regarding one or some clauses will not affect the validity of
the rest.
The non-demand on the part of VERSAMED® of strict compliance with any of
the terms of these Conditions, does not constitute nor can it be
interpreted in any case as a waiver on its part to demand it in the
future.
Language
The language applicable to these terms of use is Spanish. If versions of
such terms have been offered in other languages, it has been by mere
courtesy, for the user's convenience, and the user expressly accepts that
they will be governed by their version in Spanish.
If there is any contradiction between what the Spanish version of these
terms says and what their translation says, in any case the Spanish
version will prevail.
Legislation and jurisdiction

The relations between users and VERSAMED® will be governed by Dominican
legislation and, in case of conflict, they submit to the courts and
tribunals of Santiago de los Caballeros expressly waiving any other
jurisdiction that may correspond to them.
General

VERSAMED® will pursue the breach of these terms, as well as any improper
use of The Website, exercising all civil and criminal actions that may
correspond to it by law.

VERSAMED® may modify the terms determined here at any time, being duly
published as they appear here. The validity of the aforementioned terms
will depend on their exposure and will be in force until they are
modified by others duly published.
